The corporate practice group of the firm has experience representing operating companies, publicly held organizations, banks, financial institutions, venture capital organizations, real estate developers, real estate financiers, commercial finance organizations as well as small, medium and large sized corporations, both locally and nationally. A significant portion of the firm's corporate practice involves merger and acquisition work, serving as general corporate counsel to business entities including corporations, limited liability companies, partnerships, limited partnerships, limited liability partnerships and professional corporations. Our corporate attorneys represent professional medical, legal and accounting practitioners as well as individual entrepreneurs and executives. The firm's corporate practice is both local and interstate and also involves private placements of debt and equity.

Finance

Our finance clients include national, regional and local banks and trust companies, finance companies, economic development agencies, secondary mortgage lenders, and loan brokers for commercial secured and unsecured lending. Business transactions for these clients include the preparation, documentation, negotiation and closure of transactions involving financing for working capital, funding of mergers and acquisitions and leveraged buyouts, commercial real estate development and construction loans, syndicated and participated loans, precious metals facilities and letters of credit (including the issuance of letters of credit in public finance transactions) and loan workouts and creditors' rights protection.
